Terms of Service

These terms apply to all quotes, orders, and deliveries of precision parts, mould components, and bespoke manufactured goods. Any deviating conditions of the Buyer are explicitly rejected unless expressly agreed upon in writing. A contract is established only for B2B (Business-to-Business) transactions.

All offers are non-binding and subject to change without notice until a final written order confirmation is issued. Quotes are generally valid for 30 days from issuance. The contract is concluded exclusively by the Supplier's written order confirmation or by the execution of the delivery.

Unless otherwise stated, all prices are net in EUR or RON, DAP (Incoterms 2020) to the agreed place of destination, excluding packaging, unloading and import duties at the place of destination, and applicable VAT. Invoices are payable strictly net within 30 days of the invoice date, unless special payment terms have been agreed in writing. The Supplier reserves the right to charge default interest in accordance with applicable B2B legal provisions.

Delivery terms are agreed individually per order. Goods are delivered DAP (Incoterms 2020) to the agreed place of destination; unloading is not included. Risk transfers to the Buyer once the goods have been placed at the Buyer's disposal for unloading at the agreed place of destination, even if partial deliveries are made or the Supplier has assumed other services (e.g., shipping costs). Import clearance and all import duties and taxes are the Buyer's responsibility. Delays due to force majeure extend the delivery time accordingly.

The Buyer must inspect the delivered goods immediately upon receipt. Notice of any defects, missing items, or deviations from the agreed specifications (e.g., CAD drawings, ISO 2768-m tolerances) must be made in writing within 5 working days. For verified defects, the Supplier holds the right to choose between rectification (rework) or a replacement delivery. Further warranty claims are excluded.

The Supplier's liability for damages, regardless of the legal ground, is limited to intent and gross negligence. Liability for slight negligence is limited to foreseeable, typical contractual damages, and is capped at the respective order value. Indirect damages, lost profits, or production downtimes are strictly excluded.

All CAD files, technical drawings, and specifications provided by the Buyer remain their exclusive property. The Supplier treats all such documents with strict confidentiality. Any manufacturing processes, proprietary toolings, or internal methodology developed by the Supplier during production remain the intellectual property of FINECORE PRECISION SRL.

All legal relations between the Supplier and the Buyer shall be governed exclusively by the laws of Romania, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for all disputes arising directly or indirectly from the contractual relationship shall be the competent courts in Ilfov/Bucharest, Romania.
